  • Heat oven to 350ºF.
  • Beat first 6 ingredients in large bowl with mixer until blended. Pour into 2 greased and floured (9-inch) round pans.
  • Bake 25 to 30 min. or until toothpick inserted in centers comes out clean. Cool cakes in pans 10 min. Loosen cakes from sides of pans; invert onto wire racks. Remove pans. Cool cakes completely.
  • Meanwhile, microwave 25 caramels and 3/4 cup milk in microwavable bowl on HIGH 2 min. or until caramels are completely melted, stirring after each minute. Add dry butterscotch pudding mix; whisk 2 min. Cool 15 min. Gently stir in 1-1/2 cups COOL WHIP. Refrigerate 20 min. or until chilled.
  • Cut cakes horizontally in half; stack on plate, spreading 1/3 of the caramel mixture between each layer.
  • Microwave chocolate and remaining COOL WHIP in microwaveable bowl 1-1/2 to 2 min. or until chocolate is completely melted and mixture is well blended, stirring after each minute. Cool 10 min. Spread over cake, allowing excess glaze to drip down side. Let stand until glaze is firm.
  • Place remaining caramels in small microwaveable bowl. Add remaining milk. Microwave 1 min. or until caramels are completely melted and sauce is smooth, stirring every 30 sec. Cool 10 min. or until slightly thickened. Drizzle over cake; sprinkle with salt.
