Mix pudding and milk until firm. Stir in Cool Whip.
Line bottom of 13x9-inch pan with graham crackers. Pour part of pudding mixture on top of crackers. Add another layer of crackers. Pour rest of pudding mixture. Add another layer of crackers on top.
Then spread frosting on top of crackers. (I soften the frosting in microwave, makes it easier to spread.) Sprinkle nuts on top. Keep refrigerated.
