Cream butter, add sugars, blend in eggs, peanut butter, soda, salt, and vanilla. Stir in flour and oats. Spread into two 9 by 13 in greased pans.
Bake at 350°F for 20 - 25 minutes. Remove from oven, sprinkle with chips. Let stand 5 min. Spread.
Combine powdered sugar, peanut butter and milk. Spread evenly over chocolate layer. Cool and cut into bars.
