In medium saucepan, stir together sugar and cocoa; Stir in milk and butter. Cook over medium heat, stirring constantly, until mixture comes to a boil; 1 minute.
Remove from heat; stir in peanut butter. Add oats and peanuts, stir to mix well.
Quickly drop mixture by rounded teaspoonfuls onto wax paper or foil. Cool completely. Store in cool, dry place.
