Melt chocolate as directed on package; cool. Line 2 (9-inch) round pans with parchment; spray with cooking spray.
Combine flour and baking soda. Beat mayo, brown sugar, granulated sugar and vanilla in large bowl with mixer until blended. Add eggs and melted chocolate; mix well. Add flour mixture alternately with boiling water, mixing well after each addition. Pour into prepared pans.
Bake 30 to 35 min. or until toothpick inserted in centers comes out clean. Cool 10 min. Remove cakes from pans to wire racks. Remove and discard parchment. Cool cakes completely.
Beat pudding mix, milk and powdered sugar in large bowl with whisk 2 min. Stir in COOL WHIP. Stack cake layers on plate, filling and frosting layers with chocolate frosting.
